Terms of Service

These Terms govern your access to and use of Senntric and its market intelligence services.

These Terms of Service ("Terms") govern your access to and use of Senntric's websites, applications, terminal, market data, news, analytics, alerts, audio, charts, educational materials, community features, communications, software, and other products or services that link to these Terms (collectively, the "Services").

These Terms constitute a legally binding agreement between you and Senntric ("Senntric," "we," "us," or "our").

By creating an account, purchasing a subscription, accessing the Services, or otherwise using the Services, you agree to these Terms and our Privacy Policy.

If you do not agree to these Terms, you must not access or use the Services.

1. Eligibility

You may use the Services only if:

  • you are at least 18 years old;
  • you have legal capacity to enter into a binding agreement;
  • your use of the Services is lawful in the jurisdiction in which you are located;
  • you are not prohibited from using the Services under applicable law, sanctions, exchange rules, data-provider requirements, or other applicable restrictions; and
  • unless expressly authorized by Senntric in writing, you qualify for and use the Services solely on a personal, non-professional, non-commercial basis as described below.

You may not use the Services on behalf of another person unless expressly authorized by Senntric.

If you use the Services on behalf of an organization under a separately executed agreement with Senntric, you represent that you have authority to bind that organization.

2. Non-Professional Use Only

Unless Senntric expressly agrees otherwise in writing, the Services and all market information made available through them are licensed solely for your individual, personal, non-professional, non-commercial use.

You may not use a standard individual Senntric subscription for professional, institutional, corporate, advisory, client-facing, or commercial purposes.

Without limiting the foregoing, prohibited professional or commercial use includes using the Services:

  • for an employer, company, partnership, fund, trading firm, proprietary trading business, investment vehicle, or other organization;
  • in connection with managing money or assets for another person;
  • on behalf of clients, customers, investors, members, or third parties;
  • as part of investment advisory, brokerage, research, consulting, financial-services, or similar commercial activity;
  • for a registered broker-dealer, investment adviser, financial institution, exchange member, asset manager, hedge fund, prop firm, or similar organization;
  • to produce or support a commercial product or service;
  • as an internal business information service;
  • for paid research, paid signals, commercial trading alerts, newsletters, publications, or other monetized services; or
  • in any other manner that qualifies as professional usage under an applicable exchange, data vendor, licensor, or regulatory definition.

Different exchanges and market-data providers may apply their own definitions of "professional" and "non-professional" users. Those definitions may control access to particular data.

You represent that information you provide concerning your professional status is complete and accurate.

You must promptly notify Senntric if your status changes.

Senntric may request information reasonably necessary to verify your eligibility or non-professional status and may restrict, reclassify, suspend, or terminate access where required by an exchange, market-data provider, licensor, law, or contractual obligation.

Professional or organizational access may require a separate agreement, additional fees, exchange approvals, or additional market-data licenses.

3. Personal License

Subject to your compliance with these Terms and payment of all applicable fees, Senntric grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Services solely for your permitted personal use.

No ownership interest in the Services, software, content, data, or intellectual property is transferred to you.

Your subscription is for one individual user unless Senntric expressly states otherwise.

4. Market Data, News, and Third-Party Information

The Services may contain or display information obtained from exchanges, market-data vendors, news organizations, issuers, regulatory filings, financial-data providers, public sources, third-party licensors, and other sources.

This information may include:

  • securities prices and quotes;
  • historical prices;
  • options information;
  • futures, foreign-exchange, cryptocurrency, index, or other market information;
  • bid, ask, trade, volume, open-interest, and related information;
  • economic releases;
  • earnings information;
  • estimates and consensus figures;
  • corporate announcements;
  • regulatory filings;
  • news and headlines;
  • calendars and event information;
  • options positioning and gamma-related information;
  • calculated or derived metrics;
  • charts;
  • historical market reactions;
  • alerts;
  • audio or textual news summaries;
  • automated analysis; and
  • other financial or market-related information.

Certain information may be subject to additional terms imposed by exchanges, licensors, news organizations, or data providers.

By using such information, you agree to comply with any applicable restrictions communicated through the Services.

Senntric may modify, delay, restrict, replace, suspend, or discontinue any data source or category of information if required by a provider, exchange, law, technical limitation, commercial decision, or contractual obligation.

Availability of a particular data source is not guaranteed for the duration of your subscription.

5. Strict Prohibition on Redistribution and Commercial Exploitation

Unless Senntric expressly authorizes it in writing, you may not redistribute, retransmit, republish, resell, sublicense, commercialize, syndicate, broadcast, disseminate, supply, or otherwise make available any portion of the Services or their data to another person or entity.

This prohibition applies whether redistribution is commercial or non-commercial and includes, without limitation:

  • real-time or delayed market data;
  • quotes;
  • prices;
  • charts;
  • options data;
  • GEX or other derived analytics;
  • news;
  • headlines;
  • alerts;
  • economic data;
  • earnings data;
  • transcripts;
  • summaries;
  • historical databases;
  • event information;
  • audiovisual material;
  • proprietary calculations;
  • metadata; and
  • other content made available through Senntric.

You may not:

  • resell Senntric data or access;
  • rebroadcast Senntric information through another application, website, Discord, Telegram, Slack, social-media feed, API, terminal, newsletter, trading room, or other service;
  • continuously or systematically share screenshots or screen recordings containing Senntric data;
  • create a market-data feed using Senntric;
  • use Senntric as a data source for another commercial product;
  • create derivative databases from Senntric content;
  • systematically download or archive Senntric data;
  • expose Senntric information through an API or automated interface;
  • provide other persons with access to your account;
  • share credentials;
  • circumvent user, device, session, or concurrency restrictions; or
  • use Senntric information in any manner that violates a third-party provider's licensing restrictions.

Any sharing capability expressly built into the Services may be used only within the limits provided by Senntric.

Commercial redistribution is strictly prohibited without a separate written license.

6. Automated Access, Scraping, and AI Training

Unless expressly authorized by Senntric in writing, you may not:

  • scrape the Services;
  • crawl the Services using automated software;
  • use bots to systematically collect information;
  • perform automated bulk downloads;
  • extract or reconstruct databases;
  • access undocumented APIs;
  • bypass access controls, rate limits, authentication systems, or technical restrictions;
  • use browser automation to systematically extract content;
  • create or maintain a substitute data feed;
  • use Senntric content to train, fine-tune, evaluate, ground, augment, or develop an artificial-intelligence or machine-learning model;
  • use Senntric content to construct datasets for third parties; or
  • use automated systems to reproduce a material portion of the functionality, content, or data available through Senntric.

Normal indexing by publicly recognized search engines may be permitted where authorized through Senntric's technical configuration.

8. Trading Risk

Trading and investing involve substantial risk.

You may lose some or all of the money you invest or trade.

Leveraged products, derivatives, options, futures, short selling, cryptocurrencies, and other instruments may involve particularly significant risks and may not be appropriate for all persons.

Market conditions can change rapidly.

You are solely responsible for:

  • your trading decisions;
  • your investment decisions;
  • your orders;
  • your positions;
  • your account balances;
  • your brokerage relationships;
  • your risk controls;
  • confirming information before acting on it; and
  • determining whether a transaction is suitable for you.

Senntric is not responsible for trading losses or investment losses arising from your use of or reliance on the Services.

9. Senntric Is Not a Broker or Exchange

Unless expressly stated otherwise, Senntric:

  • does not execute trades;
  • does not accept customer funds for investment;
  • does not hold securities for customers;
  • does not act as a broker-dealer;
  • does not act as an investment adviser;
  • does not operate an exchange;
  • does not guarantee execution prices;
  • does not control third-party brokerage platforms; and
  • does not owe you a fiduciary duty.

Any connection, reference, or link to a broker, exchange, financial institution, or other third-party service does not make that party an agent or representative of Senntric.

10. Accuracy, Timing, and Availability of Market Information

Financial markets operate rapidly, and information can become outdated within seconds.

Although Senntric aims to provide useful and timely information, Senntric does not guarantee that any information is accurate, complete, current, available, properly synchronized, or error-free.

Information may:

  • contain errors;
  • be incomplete;
  • be duplicated;
  • be delayed;
  • arrive out of sequence;
  • be revised after publication;
  • differ between providers;
  • temporarily disappear;
  • be incorrectly classified;
  • contain incorrect timestamps;
  • reflect stale prices;
  • be affected by exchange corrections;
  • fail to update;
  • be unavailable during outages; or
  • differ from information displayed by a broker, exchange, issuer, or other source.

You should independently confirm information that is material to a trading or investment decision.

Where there is a discrepancy, the records of the relevant exchange, broker, issuer, regulator, or authoritative source may differ from Senntric.

Senntric has no obligation to update previously displayed information after it changes or becomes inaccurate.

11. Derived Analytics, GEX, Models, Estimates, and Calculations

Certain Senntric features may display calculated, inferred, modeled, estimated, aggregated, or derived information.

Examples may include:

  • gamma exposure ("GEX");
  • zero-gamma or gamma-flip levels;
  • call walls;
  • put walls;
  • options positioning;
  • dealer-positioning estimates;
  • historical reaction statistics;
  • volatility information;
  • price-move calculations;
  • consensus statistics;
  • market signals;
  • event classifications;
  • rankings;
  • sentiment;
  • alerts; and
  • other calculated analytics.

Such information is based on assumptions, source data, models, calculation methodologies, and technical systems that may be imperfect.

In particular, calculated options-positioning information does not necessarily represent the actual positions, hedging activity, or behavior of dealers, market makers, or any particular market participant.

Derived information should be treated as analytical information, not as an objective statement of actual market positioning.

Methodologies may change without notice as Senntric improves the Services.

12. Automated and AI-Generated Information

Senntric may use automated systems, algorithms, artificial intelligence, or machine-learning systems to organize, classify, summarize, transform, contextualize, or generate information.

Automated output may be inaccurate, incomplete, misleading, stale, or otherwise incorrect.

Automated summaries may omit material information or misunderstand the source material.

You must independently evaluate automated output before relying on it.

Automated output is provided for informational purposes only and does not constitute investment advice or a recommendation.

13. Alerts, Notifications, and Audio Services

Senntric may offer alerts, notifications, feeds, audio squawk, event notifications, or similar time-sensitive functionality.

These features are provided as convenience tools only.

Senntric does not guarantee that any alert or notification:

  • will be generated;
  • will be delivered;
  • will be delivered immediately;
  • will be received before a market moves;
  • will contain complete information;
  • will remain available;
  • will operate without interruption; or
  • will be appropriate for any particular trading decision.

Internet connectivity, device settings, browser restrictions, operating systems, network congestion, third-party systems, infrastructure failures, provider outages, and other conditions may prevent or delay delivery.

You should not rely on Senntric alerts as your sole risk-management, monitoring, execution, or emergency-notification system.

14. Historical Performance and Educational Materials

Historical market behavior, historical performance, simulated results, model outputs, example trades, charts, case studies, educational materials, and prior market reactions are provided solely for informational and educational purposes.

Past performance does not guarantee future results.

Hypothetical or simulated results have inherent limitations and may not reflect actual trading conditions, liquidity, execution costs, slippage, commissions, taxes, market impact, or psychological factors.

Educational content does not create an adviser-client, teacher-client, fiduciary, or similar professional relationship.

Senntric does not guarantee any trading outcome, profitability, return, income, or financial result.

15. Accounts and Account Security

You may be required to create an account to access some Services.

You agree to:

  • provide accurate information;
  • keep account information reasonably current;
  • maintain the confidentiality of your login credentials;
  • use your account only for yourself;
  • promptly notify Senntric of suspected unauthorized access; and
  • take reasonable precautions to secure devices used to access the Services.

You are responsible for activity occurring through your account to the extent permitted by law.

You may not sell, transfer, lend, sublicense, rent, or share an account.

Senntric may impose reasonable restrictions on simultaneous sessions, devices, IP addresses, or other usage indicators to prevent unauthorized sharing or abuse.

16. Subscriptions, Billing, and Automatic Renewal

Some Services require a paid subscription.

When you purchase a subscription, you authorize Senntric and its payment providers to charge the applicable subscription price, taxes, and other disclosed charges using your selected payment method.

Unless otherwise stated at purchase, subscriptions renew automatically at the end of each billing period until canceled.

Your renewal price will be the price disclosed for your plan, subject to any changes made in accordance with these Terms.

You are responsible for keeping your payment information current.

If payment cannot be completed, Senntric may retry payment, restrict access, downgrade access, suspend your account, or terminate the subscription.

Payment processing may be performed by third-party payment processors and may also be subject to their applicable terms.

17. Cancellation

You may cancel a subscription using any cancellation method Senntric makes available.

Unless otherwise stated:

  • cancellation prevents the next automatic renewal;
  • access continues until the end of the already-paid billing period; and
  • cancellation does not retroactively reverse charges already incurred.

Deleting the application, abandoning an account, or ceasing to use the Services does not itself cancel an active paid subscription.

18. Refunds

Except where required by applicable law or expressly stated by Senntric at the time of purchase, subscription fees and other payments are non-refundable.

Senntric does not provide refunds or credits solely because:

  • you did not use the Services;
  • you forgot to cancel before renewal;
  • you experienced ordinary short-term interruptions;
  • a particular feature or data source changed;
  • market conditions changed; or
  • you incurred a trading or investment loss.

Nothing in this section limits any mandatory refund, cancellation, or consumer right that cannot lawfully be waived.

19. Free Trials and Promotions

Senntric may offer free trials, promotional access, discounts, or other offers.

Any additional conditions disclosed with an offer form part of these Terms.

Where disclosed when you enroll, a trial may automatically convert into a paid subscription at the end of the trial period unless canceled before the applicable deadline.

Promotions may:

  • be limited to eligible users;
  • be modified or withdrawn;
  • have expiration dates;
  • be non-transferable; and
  • be subject to additional conditions.

Abuse of trials or promotional programs is prohibited.

20. Changes to Prices and Services

Senntric may modify subscription prices from time to time.

Price changes for recurring subscriptions will generally apply to a future billing period after any notice required by applicable law.

Senntric may also add, modify, replace, or remove features, data sources, integrations, functionality, providers, interfaces, or other parts of the Services.

The financial-data and technology industries change frequently, and availability of particular information or functionality cannot be guaranteed indefinitely.

21. User Content and Community Features

Certain Services may allow you to post messages, comments, trading observations, charts, notes, files, images, reactions, or other material ("User Content").

You retain ownership of your User Content.

By submitting User Content to an area intended to be visible to other users or the public, you grant Senntric a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, format, transmit, and otherwise use that User Content as reasonably necessary to provide, moderate, promote, secure, and operate the relevant Services.

You represent that you have the rights necessary to submit your User Content.

You may not submit content that:

  • violates law;
  • infringes intellectual-property rights;
  • contains malware;
  • fraudulently impersonates another person;
  • unlawfully discloses confidential information;
  • constitutes spam;
  • is deceptive or fraudulent;
  • facilitates market manipulation;
  • contains knowingly false claims intended to influence securities prices;
  • coordinates unlawful trading activity;
  • constitutes an unlawful securities offering;
  • solicits illegal activity; or
  • otherwise violates these Terms or applicable community rules.

Senntric may remove or restrict User Content or community access when reasonably necessary to enforce these Terms or protect the Services and their users.

Senntric does not endorse User Content posted by users.

Statements by other users are not statements by Senntric and should not be treated as financial advice from Senntric.

22. Acceptable Use

You may not:

  • violate applicable laws or regulations;
  • interfere with the operation or security of the Services;
  • attempt unauthorized access to systems or accounts;
  • probe or test vulnerabilities without written authorization;
  • circumvent authentication, entitlements, subscription restrictions, or paywalls;
  • evade rate limits;
  • interfere with another user's access;
  • introduce malware or malicious code;
  • use the Services to facilitate fraud;
  • use automated means prohibited by these Terms;
  • scrape or systematically collect information;
  • reverse engineer the Services except to the limited extent such restriction is prohibited by applicable law;
  • copy or clone a substantial portion of the Services;
  • remove copyright, trademark, attribution, or proprietary notices;
  • falsely suggest an affiliation with Senntric;
  • exploit errors or vulnerabilities;
  • use credentials belonging to another person;
  • create accounts to evade restrictions or enforcement;
  • abuse customer-support systems;
  • use the Services to violate third-party market-data rights; or
  • encourage another person to do any of the foregoing.

23. Intellectual Property

The Services, excluding User Content and third-party content, are owned by or licensed to Senntric and are protected by intellectual-property and other laws.

This includes, where applicable:

  • software;
  • source code;
  • object code;
  • interfaces;
  • designs;
  • graphics;
  • logos;
  • branding;
  • text;
  • proprietary databases;
  • compilations;
  • data organization;
  • calculated analytics;
  • methodologies;
  • workflows;
  • audiovisual content;
  • documentation; and
  • other materials.

"Senntric" and associated names, logos, marks, and branding may not be used without authorization.

Except for the limited license expressly provided in these Terms, no rights are granted to you.

24. Feedback

If you provide ideas, suggestions, comments, feature requests, or other feedback regarding Senntric, you grant Senntric the right to use that feedback without restriction or compensation to you.

This does not give Senntric ownership of your personal information or unrelated User Content.

25. Third-Party Services

The Services may link to or integrate with third-party products, websites, applications, brokers, payment processors, data providers, or other services.

Third-party services are independently operated.

Senntric does not control and is not responsible for:

  • their availability;
  • their accuracy;
  • their security;
  • their content;
  • their transactions;
  • their terms;
  • their privacy practices; or
  • their actions or omissions.

Your dealings with third parties are between you and the applicable third party.

26. Third-Party Market-Data Rights

Certain market information may remain the intellectual property of an exchange, data vendor, news service, issuer, or other third-party provider.

Nothing in these Terms transfers ownership of such information to you.

Third-party providers may impose restrictions concerning:

  • display;
  • redistribution;
  • professional usage;
  • automated access;
  • storage;
  • derived data;
  • auditing;
  • reporting;
  • geographic availability; and
  • subscriber classification.

Where legally or contractually required, applicable provider terms are incorporated into your use of the relevant information.

Senntric may take actions reasonably necessary to comply with its obligations to market-data providers, exchanges, licensors, and other suppliers.

This may include requesting subscriber information, changing entitlements, suspending data, or terminating access.

27. Service Availability

Senntric does not guarantee uninterrupted availability.

The Services may be unavailable because of:

  • maintenance;
  • upgrades;
  • technical failures;
  • infrastructure problems;
  • market-data outages;
  • exchange interruptions;
  • vendor outages;
  • internet failures;
  • cyberattacks;
  • force majeure events;
  • capacity limitations; or
  • circumstances beyond Senntric's reasonable control.

Features identified as beta, experimental, preview, early access, or similar may be changed or removed at any time and may be less reliable than generally available functionality.

28. Suspension and Termination

Senntric may restrict, suspend, or terminate your access where reasonably necessary, including if:

  • you violate these Terms;
  • your subscription remains unpaid;
  • you share an account;
  • you redistribute data;
  • you misuse market information;
  • you misrepresent your professional status;
  • a data provider or exchange requires Senntric to restrict access;
  • your activity threatens the security or integrity of the Services;
  • your use exposes Senntric or another party to legal or regulatory risk;
  • you engage in fraud or abusive activity; or
  • continued provision of the Services is unlawful or commercially impracticable.

Where appropriate, Senntric may provide notice or an opportunity to correct a violation, but is not required to do so where immediate action is reasonably necessary.

You may stop using the Services at any time.

Sections that by their nature should survive termination will survive, including provisions relating to intellectual property, data restrictions, disclaimers, limitations of liability, indemnification, and dispute resolution.

29. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."

SENNTRIC DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF:

  • MERCHANTABILITY;
  • FITNESS FOR A PARTICULAR PURPOSE;
  • TITLE;
  • NON-INFRINGEMENT;
  • ACCURACY;
  • COMPLETENESS;
  • TIMELINESS;
  • AVAILABILITY;
  • RELIABILITY; and
  • FITNESS FOR TRADING OR INVESTMENT PURPOSES.

SENNTRIC DOES NOT WARRANT THAT:

  • THE SERVICES WILL BE UNINTERRUPTED;
  • INFORMATION WILL BE ERROR-FREE;
  • DATA WILL BE DELIVERED WITHOUT DELAY;
  • ALERTS WILL ALWAYS BE RECEIVED;
  • ERRORS WILL ALWAYS BE CORRECTED;
  • THE SERVICES WILL MEET YOUR REQUIREMENTS;
  • THE SERVICES WILL PRODUCE A PARTICULAR FINANCIAL RESULT; OR
  • USE OF THE SERVICES WILL RESULT IN PROFITABLE TRADING.

Some jurisdictions do not allow certain warranty exclusions, so some exclusions may not apply to you.

30. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SENNTRIC AND ITS OWNERS, AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, LICENSORS, DATA PROVIDERS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

This includes damages arising from:

  • trading losses;
  • investment losses;
  • lost profits;
  • lost opportunities;
  • lost revenue;
  • lost data;
  • loss of goodwill;
  • business interruption;
  • reliance on inaccurate information;
  • delayed information;
  • missed alerts;
  • service outages;
  • market-data errors;
  • third-party content;
  • automated or AI-generated information;
  • unauthorized account activity; or
  • inability to access the Services.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SENNTRIC'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO SENNTRIC FOR THE SERVICES GIVING RISE TO THE CLAIM DURING THE TWELVE MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR US$100 IF YOU PAID NOTHING DURING THAT PERIOD.

The limitations in this section apply regardless of the legal theory asserted and even if Senntric was advised that damages were possible.

Nothing in these Terms excludes liability that cannot lawfully be excluded.

31. Indemnification

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Senntric and its affiliates, owners, officers, directors, employees, contractors, licensors, and service providers from claims, liabilities, damages, judgments, losses, costs, and reasonable legal expenses arising from or relating to:

  • your misuse of the Services;
  • your violation of these Terms;
  • your User Content;
  • your violation of third-party rights;
  • unauthorized redistribution of information;
  • unauthorized professional or commercial usage;
  • account sharing;
  • unlawful conduct; or
  • your material misrepresentation concerning eligibility or market-data subscriber status.

Senntric reserves the right to assume control of the defense of any matter subject to indemnification, in which case you agree to reasonably cooperate.

32. No Fiduciary Relationship

Your use of Senntric does not create a fiduciary, advisory, agency, partnership, joint-venture, employment, broker-client, or similar relationship between you and Senntric.

Senntric's commercial interests may differ from yours.

33. Electronic Communications

You agree that Senntric may provide agreements, notices, disclosures, receipts, subscription information, and other communications electronically, including through:

  • email;
  • the Services;
  • account notices; or
  • other electronic means permitted by law.

Electronic communications satisfy any legal requirement that communications be in writing to the extent permitted by applicable law.

34. Privacy

Our collection and processing of personal information is described in the Senntric Privacy Policy.

By using the Services, you acknowledge that you have reviewed the Privacy Policy.

35. Changes to These Terms

Senntric may modify these Terms from time to time.

When we do so, we will update the "Last Updated" date.

Where required by applicable law, we will provide additional notice of material changes.

Your continued use of the Services after updated Terms become effective constitutes acceptance of the revised Terms, except where applicable law requires another form of consent.

If you do not agree to revised Terms, you must stop using the Services and cancel any applicable subscription.

36. Governing Law and Disputes

These Terms and any dispute arising from or relating to them or the Services will be governed by the applicable laws of Canada, without regard to conflict-of-laws rules, except to the extent mandatory law requires otherwise.

Subject to any mandatory consumer rights, courts of competent jurisdiction in Canada may hear disputes arising from or relating to these Terms or the Services.

Nothing in this section deprives a consumer of protections that cannot lawfully be waived under the laws applicable to that consumer.

37. Contracting Entity

The contracting party providing the Services is Senntric.

38. Assignment

You may not assign or transfer your rights or obligations under these Terms without Senntric's written consent.

Senntric may assign or transfer these Terms in connection with a merger, acquisition, restructuring, financing, sale of assets, corporate reorganization, or transfer of all or part of its business, subject to applicable law.

39. Severability

If any provision of these Terms is found unenforceable, invalid, or unlawful, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in effect.

40. Waiver

Failure by Senntric to enforce a provision of these Terms does not waive its right to enforce that provision or any other provision later.

41. Entire Agreement

These Terms, the Privacy Policy, any applicable market-data terms, and any additional terms expressly agreed between you and Senntric constitute the agreement governing your use of the Services.

If you enter into a separately signed agreement with Senntric and that agreement expressly conflicts with these Terms, the separately signed agreement controls to the extent of that conflict.

42. Force Majeure

Senntric will not be responsible for delay or failure to perform caused by circumstances beyond its reasonable control, including:

  • internet or telecommunications failures;
  • exchange outages;
  • market closures;
  • data-provider failures;
  • cloud or infrastructure failures;
  • cyberattacks;
  • governmental action;
  • labor disputes;
  • natural disasters;
  • war;
  • terrorism;
  • civil unrest;
  • epidemics;
  • power failures; or
  • similar events.
